Shiplyr Affiliate Program Terms & Conditions
Effective date: 12 August 2026
These Affiliate Program Terms & Conditions (“Affiliate Terms”) govern participation in the Shiplyr Affiliate Program operated by SHIPLYR LTD, Cyprus (“Shiplyr”, “we”, “us”).
By creating an affiliate account or participating in the Shiplyr Affiliate Program, you (“Affiliate”, “you”) agree to these Affiliate Terms.
1. Eligibility
To participate in the Shiplyr Affiliate Program, you must:
-
be at least 18 years old;
-
have the legal capacity to enter into this agreement;
-
provide accurate account, billing and payout information; and
-
comply with these Affiliate Terms and all applicable laws.
If you participate on behalf of a company or other organisation, you confirm that you are authorised to act on its behalf.
Shiplyr may approve, reject, suspend or terminate an affiliate account where reasonably necessary to protect the Affiliate Program, Shiplyr or its customers.
2. Affiliate Account and Referral Link
Approved Affiliates receive a unique affiliate code and referral link.
The referral link may be used on websites, social media, newsletters, communities, videos and other permitted marketing channels.
Affiliate accounts and referral links are personal to the Affiliate and may not be transferred or sold without Shiplyr's written approval.
3. Referral Attribution
A customer qualifies as an Affiliate referral when Shiplyr's tracking system successfully attributes that customer to the Affiliate's referral link or affiliate code.
Affiliate tracking may remain active for up to 90 days after a prospective customer uses an Affiliate referral link.
Tracking is subject to technical availability, browser settings, cookie consent, ad blockers and similar technologies. Shiplyr cannot guarantee attribution where tracking information has been deleted, blocked or was never recorded.
Once a customer has been successfully attributed to an Affiliate in Shiplyr's system, that attribution may continue to apply to eligible recurring commissions in accordance with these Affiliate Terms.
Shiplyr's internal affiliate attribution record is used to determine commission eligibility.
Retroactive attribution is not guaranteed.
4. Commission Rate
The standard Affiliate commission rate is 25% of Eligible Service Fees, unless a different commission rate has been agreed individually between Shiplyr and the Affiliate.
The applicable commission rate is shown in the Affiliate's Shiplyr account.
5. Eligible Service Fees
Affiliate commissions are calculated only on Shiplyr fees that are specifically eligible for commission.
Monthly and Annual plans
For customers on an eligible Monthly or Annual subscription, the Affiliate receives commission on the subscription fee actually paid to Shiplyr.
Commission may recur for subsequent paid billing periods while the customer remains eligible and attributed to the Affiliate.
Flex plan
For customers using an eligible Flex plan, commission is earned on eligible Shiplyr handling fees actually paid by the referred customer.
A Flex registration alone does not generate a commission. Commission is generated only when an eligible paid transaction or shipment takes place.
Excluded amounts
Unless Shiplyr expressly states otherwise, commission is not paid on:
-
carrier or shipping charges;
-
postage;
-
customs duties;
-
taxes or VAT;
-
insurance charges;
-
warehouse or storage charges;
-
consolidation charges;
-
third-party charges;
-
refunds;
-
chargebacks;
-
amounts that were not successfully paid to Shiplyr; or
-
other costs that Shiplyr passes through to the customer.
Commission is calculated on the eligible service fee net of VAT and after applicable discounts, coupons, refunds or adjustments.
6. Commission Status
Affiliate commissions may appear in the Affiliate Dashboard with one of the following statuses:
Pending
The commission has been recorded but is not yet available for invoicing.
Approved / Available to Invoice
The commission has been approved and may be included in an Affiliate invoice.
Invoiced
The Affiliate has submitted the relevant commission for payment.
Paid
Shiplyr has paid the commission.
Reversed
The commission is no longer payable, for example because the underlying customer payment was refunded, charged back, cancelled, fraudulent or otherwise invalid.
Pending commissions do not represent an unconditional payment obligation until they have been approved.
7. Refunds, Chargebacks and Reversals
If a customer payment that generated a commission is later refunded, reversed or charged back, Shiplyr may reverse the related Affiliate commission.
If the commission has already been paid, Shiplyr may deduct the corresponding amount from future Affiliate commissions or request repayment where appropriate.
No commission is payable on fraudulent, cancelled or invalid transactions.
8. Invoicing and Payouts
Approved commissions become available for invoicing through the Affiliate Dashboard.
Before receiving a payout, the Affiliate must provide complete and accurate:
-
billing information;
-
tax and VAT information where applicable;
-
bank account information; and
-
any invoice information requested by Shiplyr.
Affiliate payouts are made to the payment or bank details registered in the Affiliate account.
The Affiliate is responsible for ensuring that all submitted payment and billing information is correct.
Shiplyr may delay a payout where required information is missing, incorrect or requires verification.
9. Taxes and VAT
The Affiliate is solely responsible for determining and complying with their own tax, VAT, social insurance, business registration and reporting obligations.
Where VAT or another tax must legally be added to an Affiliate invoice, the Affiliate is responsible for issuing the invoice correctly.
Any VAT or tax calculation displayed by the Shiplyr platform is based on the information provided by the Affiliate and does not replace professional tax advice or the Affiliate's own legal obligations.
10. Marketing and Disclosure Requirements
Affiliates must clearly disclose their commercial relationship with Shiplyr whenever required by applicable law or the rules of the relevant platform.
Affiliate links and promotional content must not be presented in a way that hides the fact that the Affiliate may receive compensation.
Disclosures must be clear, prominent and understandable to the audience.
Affiliates must not:
-
make false or misleading statements about Shiplyr;
-
advertise prices, discounts, shipping times or services that Shiplyr does not currently offer;
-
impersonate Shiplyr or represent themselves as an employee or official representative of Shiplyr;
-
send unsolicited bulk messages or spam;
-
use fraudulent, deceptive or misleading advertising practices;
-
create fake accounts, orders or referrals;
-
generate commissions through artificial traffic or automated activity;
-
use their own referral link to generate commissions from their own Shiplyr account unless Shiplyr has expressly authorised this in writing;
-
promote Shiplyr through illegal, discriminatory, hateful or otherwise unlawful content.
11. Paid Advertising and Shiplyr Brand Terms
Unless Shiplyr has provided prior written permission, Affiliates may not:
-
bid on “Shiplyr” or confusingly similar terms in paid search advertising;
-
create advertisements that appear to be official Shiplyr advertisements;
-
register domains containing the Shiplyr name or confusingly similar names;
-
create social media accounts that could reasonably be mistaken for official Shiplyr accounts.
Affiliates remain free to refer to Shiplyr honestly when promoting the service in accordance with these Affiliate Terms.
12. Shiplyr Brand and Intellectual Property
Shiplyr grants the Affiliate a limited, non-exclusive, revocable right to use approved Shiplyr names, logos and marketing materials solely for the purpose of participating in the Affiliate Program.
No ownership rights are transferred to the Affiliate.
Shiplyr branding may not be altered, misrepresented or used in a way that damages the Shiplyr brand.
Upon termination of the Affiliate relationship, the Affiliate must stop using Shiplyr promotional materials where requested.
13. Independent Relationship
Participation in the Affiliate Program does not create:
-
an employment relationship;
-
a partnership;
-
a joint venture;
-
a franchise;
-
an agency relationship; or
-
authority for the Affiliate to enter into agreements on behalf of Shiplyr.
Affiliates operate independently and are responsible for their own business activities and expenses.
14. No Guarantee of Earnings
Shiplyr does not guarantee any particular number of referrals, conversions, commissions or level of income.
Affiliate performance depends on factors including the Affiliate's audience, promotional activity and customer behaviour.
15. Customer Relationship
All Shiplyr customers remain customers of Shiplyr.
Affiliates do not have authority to:
-
accept payments on behalf of Shiplyr;
-
make contractual commitments on behalf of Shiplyr;
-
promise refunds or compensation;
-
provide binding shipping quotations; or
-
modify Shiplyr's services, pricing or customer terms.
Customer service, shipping operations and account management are handled by Shiplyr.
16. Data Protection
Affiliates must comply with applicable privacy and data protection laws when collecting or processing personal data in connection with their promotional activities.
Affiliates must not provide personal information about prospective customers to Shiplyr without a lawful basis to do so.
Personal data processed directly by Shiplyr is handled in accordance with Shiplyr's Privacy Policy.
17. Suspension and Termination
Either Shiplyr or the Affiliate may end participation in the Affiliate Program.
Shiplyr may immediately suspend or terminate an Affiliate account in cases involving:
-
fraud;
-
manipulation of referrals or commissions;
-
misleading advertising;
-
misuse of the Shiplyr brand;
-
spam;
-
violation of applicable law;
-
breach of these Affiliate Terms; or
-
conduct that may materially harm Shiplyr, its customers or its reputation.
Valid commissions generated before termination remain eligible for payment once the applicable requirements are satisfied, unless the commissions are subject to reversal or were generated in breach of these Affiliate Terms.
After termination, no new commissions will be generated.
18. Changes to the Affiliate Program
Shiplyr may change the Affiliate Program, commission structure or these Affiliate Terms from time to time.
Material changes will be communicated through the Affiliate Dashboard, email or another reasonable method.
Changes will not retroactively remove valid commissions that were already earned under the applicable terms, except where a commission is later reversed in accordance with these Affiliate Terms.
Continued participation in the Affiliate Program after updated terms take effect constitutes acceptance of the updated terms.
19. Availability of the Affiliate Program
Shiplyr may modify, suspend or discontinue the Affiliate Program where reasonably necessary.
Shiplyr is not responsible for temporary tracking or platform interruptions caused by technical failures, third-party services, browser restrictions or circumstances outside Shiplyr's reasonable control.
20. Governing Law
These Affiliate Terms are governed by the laws of the Republic of Cyprus, subject to any mandatory legal provisions that apply.
Any dispute arising from these Affiliate Terms shall be subject to the jurisdiction of the competent courts of the Republic of Cyprus, unless mandatory law requires otherwise.

By creating an Affiliate account or continuing to participate in the Shiplyr Affiliate Program, you confirm that you have read, understood and agreed to these Affiliate Terms & Conditions.
